Terms of Use

1. Definitions

In these Terms of Use, the capitalized terms listed below shall have the following meanings:

  • Account: The personal environment of the User within Let’s Copilot, to which the User obtains access through their Microsoft Teams environment.
  • Agreement: The agreement between Let’s Copilot and the User.
  • Content: All information, data, or material in the form of text, photos, videos, and audio-visual materials, and any other form provided, changed, or uploaded by the User through Let’s Copilot. See the AI statement in the Privacy Policy for further details on this service.
  • Let’s Copilot: The service, including the Software, provided by Let’s Copilot B.V. through the Website and the Microsoft Teams app.
  • IP-rights: All intellectual property and ancillary rights, such as copyrights, trademark rights, patent rights, design rights, trade name rights, database rights, and related rights, as well as know-how rights and performances on a par with patentable inventions.
  • Login Details: The information such as username and password which the User provides when creating an Account and with which the User gains access to the Account.
  • Microsoft Application: Available in the Microsoft Teams store
  • Privacy Policy: Let’s Copilot’s privacy policy available on (https://www.letscopilot.com/privacy-policy).
  • Software: The software, including source code, infrastructure, specifications, and all related documentation developed by Let’s Copilot B.V.
  • Terms of Use: The underlying terms of use.
  • User: The natural person or company that has entered into an Agreement with Let’s Copilot B.V. or using Let’s Copilot.
  • User Generated Content: All information, data, or material in the form of text, photos, videos, and audio-visual materials, and any other form provided or uploaded by the User through Let’s Copilot.
  • Website: https://www.letscopilot.com.

2. General

These Terms of Use apply to every use  every use made of Let’s Copilot via your Account.

To the extent permitted by law, the governing law for the Agreement and the Terms of Use is the law of the Netherlands.

Let’s Copilot may, at all times, amend or supplement these Terms of Use. The most up-to-date Terms of Use can always be found on the Website via the button ‘Terms of Use’ in the footer. Continued use of Let’s Copilot after any such changes shall constitute your consent to the changes. If you do not agree to the amended or supplemented Terms of Use, your only option is to terminate the Agreement in accordance with article 8 below.

Additions to and/or deviations from these Terms of Use are only valid when confirmed in writing by Let’s Copilot B.V.

3. Service and Availability

Let’s Copilot B.V. has developed Software which enables you to follow e-learnings and get help with a chatbot. The service of Let’s Copilot consists of making the Software in the form of ‘Software as a Service’ accessible through the Website, Microsoft Teams app, and/or Mobile Application under the name Let’s Copilot.

If you comply in full with all obligations pursuant to these Terms of Use, Let’s Copilot will grant you a limited personal, revocable, non-exclusive, non-sublicensable, and non-transferable right to use Let’s Copilot.

To the best of its ability, Let’s Copilot B.V. will make efforts to provide Let’s Copilot with due care. Let’s Copilot B.V. may use subcontractors or third-party licensors to provide Let’s Copilot. You accept that Let’s Copilot, including the Software, only contains the functionalities and other characteristics as it contains at the moment of your use (“as is” and “as available”).

Let’s Copilot B.V. is at all times entitled, without prior announcement and without in any way becoming liable to you:

  • to make procedural and technical alterations and/or improvements to the Software and/or Let’s Copilot, and
  • to (temporarily or permanently) discontinue, limit, or terminate Let’s Copilot or your Account. Let’s Copilot will notify you of the temporary unavailability or restricted use of Let’s Copilot insofar as reasonably possible.

4. Account

To use and/or purchase Content through Let’s Copilot, your Account is linked to your Microsoft user account by following the registration process. You only warrant that all information you provide to Let’s Copilot, including the information you provide during registration, is accurate, complete, and up-to-date at any time.

You are responsible for keeping your Login Details secret. As soon as you know or have reason to suspect that your Login Details are no longer secret, or that the Account is being abused, you must take all necessary steps to prevent unauthorized access, inter alia by changing your password in the settings of your Account. Let’s Copilot B.V. is not liable for any loss or damage from unauthorized access or use of your Account.

It is not permitted to, and at the sole discretion of Let’s Copilot B.V. your Account may be blocked if you:

  • create more than one (1) Account per person.
  • create an Account for another natural person or legal entity.
  • provide access to your Account to another natural person or legal entity.
  • create an Account by “bot” or any other automated method; Account creation is solely permitted to humans.
  • create an Account for subversive reasons.

5. User Generated Content

Each and every use of Let’s Copilot by you is for your own risk and responsibility. You are solely responsible and liable for the User Generated Content provided through your Account. You indemnify and hold Let’s Copilot B.V. harmless against all claims relating to the User Generated Content.

You are not permitted to use Let’s Copilot for a purpose as listed below or make User Generated Content available, or act in a way:

  • which, at the discretion of Let’s Copilot B.V., is discriminating or is otherwise deemed hurtful, offensive, or inappropriate;
  • which encourages aggressive behavior against and/or harasses the Users;
  • which is of medical nature or is medical related;
  • which will lead to or will have the consequence that the Users are being misused, misled, or driven to undesirable behavior;
  • which is false, based on false facts and information, and/or is misleading;
  • in which personal data is made available, other than in compliance with applicable law;
  • which contains viruses, Trojan horses, worms, bots, or other software which can damage automated work or make it unusable or inaccessible or delete it, or which can appropriate it or which is intended to circumvent technical protection measures of Let’s Copilot B.V., the Software, and/or the computer systems of Let’s Copilot B.V.;
  • that consists of creating a false identity or will otherwise suggest you are involved and/or engaged with Let’s Copilot B.V.;
  • which is contrary to the Guidelines provided by the Microsoft Teams Store and/or Microsoft AppSource;
  • which infringes the rights of Let’s Copilot B.V. and/or third parties, including but not limited to IP-rights or rights concerning the protection of privacy;
  • which contain pornography, including child- and bestiality pornography or animations thereof, or are apparently aimed at helping others find these materials;
  • which qualifies as or transmits unwanted or unsolicited material or content (spam); is contrary to these Terms of Use or any applicable laws and/or regulations, is in any other manner unlawful or which could prejudice the interests and reputation of Let’s Copilot B.V..

Let’s Copilot B.V. reserves the right, without prior notice, to abridge, alter, refuse, and/or remove User Generated Content if this is necessary in Let’s Copilot B.V.’s opinion, without this resulting in any liability. You are solely entitled to hyperlink to the Content and User Generated Content made available through Let’s Copilot on third-party (social media) platforms. It is not permitted to make use of an embedded link to Content and User Generated Content on these third-party platforms. Let’s Copilot B.V. may in this case take all measures which it deems appropriate. Your use of Let’s Copilot is restricted to the amount of posted User Generated Content at any given time, as specified when creating an Account. Let’s Copilot B.V. reserves the right to at all times and at its sole discretion, further restrict the amount of posted User Generated Content when the size of the uploaded User Generated Content exceeds 400MB per environment.

Users agree not to use, modify, reproduce, distribute, sell, license, reverse engineer, decompile, or otherwise exploit Content or User Generated Data of other Users, or parts of Let’s Copilot without the prior written permission of the owner. Users may not use Content in connection with: (1) the development of any software program, including but not limited to, training a machine learning or artificial intelligence (AI) system; or (2) providing archived or cached data sets containing User Generated Content to another person or entity. Except for a public search engine’s use of spiders for creating search indices, you may not use robots, spiders, scripts, services, software or any manual or automatic device, tool, or process designed to data mine or scrape the Content, data or information from Let’s Copilot, or otherwise use, access, or collect content, data or information from the service using automated means.

Users shall not share viruses, malware, phishing or spam.

You shall refrain from hindering other Users or damaging the systems and networks of Let’s Copilot B.V. or its suppliers.

If Users act unlawfully or seem to act unlawfully or infringe the Agreement (to be determined at sole discretion of us) we have the right to block access to (parts) of Let’s Copilot or delete the relevant materials or User Generated Content, without having to make a back-up and without being liable for the damage this causes.

Let’s Copilot B.V. is entitled to transfer the name, address and other identifying information of the User to a third party who complaints that the User has infringed its rights, provided that the applicable legal requirements that follow from Dutch case law are met. Let’s Copilot B.V. is also allowed to cooperate with authorized orders from courts or government agencies and can share information on the User, personal data or User Generated Content with the authorities that request such information, without being liable for damages. Let’s Copilot B.V. is allowed to report (suspected) criminal offences at any time.

6. Privacy

When creating an Account and providing Login Details, while Let’s Copilot is being provided and when visiting the Website, Microsoft Teams app, and/or Mobile Application, (personal) data about you shall be processed by Let’s Copilot B.V.. These (personal) data shall be processed in accordance with Let’s Copilot B.V. Privacy Policy and the applicable laws and regulations.

7. Intellectual Property Rights

The IP-rights in relation to Let’s Copilot, including the Software, Website, and Mobile Application are held by Let’s Copilot B.V. or its licensors. Nothing in these Terms of Use is intended to entail any transfer of IP-rights to you. You are only entitled to use the Software and the Content within the functionality of Let’s Copilot within the application in the Microsoft Teams environment and/or other Microsoft applications.

All IP-rights in relation to the User Generated Content will remain with the User who made the User Generated Content available through Let’s Copilot. You retain all IP-rights to the User Generated Content you provide through Let’s Copilot. You warrant that you hold all the rights relating to the User Generated Content you provide through Let’s Copilot and fully indemnify Let’s Copilot B.V. of any infringement claims regarding the User Generated Content. In the event you use third-party content you hereby warrant that you have granted the unconditional and irrevocable right to use such third-party content. You indemnify and hold Let’s Copilot B.V. harmless against any and all claims with regard to the use of third-party content. Save to the extent that it is allowed by mandatory statutory law, you may not reproduce or decompile the Software or apply reverse engineering to it. Furthermore, removal and/or circumvention of security measures or technical limitations (to use) of Let’s Copilot and/or the Software is not allowed.

8. Term and Termination

  1. The Agreement between you and Let’s Copilot B.V.shall commence when you create an Account and will be in force until it is terminated in accordance with this article. These Terms of Use form part of the Agreement.
  2. You can terminate the Agreement at any time by indicating this in the settings of your Account. You are solely responsible for properly canceling your Account. An email or phone request to cancel your Account is not considered cancellation.
  3. In the event the Agreement is terminated, there will be no reversal of that which Let’s Copilot B.V. has already delivered nor the related obligation to make payment. You will not receive any refunds as a result of termination. Terms within these Terms of Use that in their nature should survive any such termination, will survive.
  4. Let’s Copilot B.V.may, without prior notice and without becoming liable to you, terminate your Account with immediate effect if:
    • You do not fulfill your payment obligations; and/or
    • You do not comply with applicable laws and regulations; and/or
    • You in any way violate the Agreement and/or these Terms of Use.
  5. Upon termination of the Agreement, Let’s Copilot B.V. shall keep all User Generated Content available to you for two (2) weeks after termination of the Agreement. You will be able to use Let’s Copilot during this period insofar as is necessary for the exporting of User Generated Content. You may not add any User Generated Content during this period. After this period, Let’s Copilot B.V. shall make your Account inaccessible to you. Let’s Copilot B.V. has no obligation to restore the User Generated Content or assist in any data conversion or exportation.

PERMISSIONS

Let’s Copilot B.V. will have permission to:

  • Send me messages and notifications.
  • Access my profile information such as my name, email address, company name and preferred language.
  • Send messages and notifications in a channel, chat or meeting on my behalf.
  • Show me marketplace offers and complete my purchases within the Microsoft AppSource environment, the Microsoft Teams environment and the SaaS accelerator (SaaS management system).
